Business advisory

Large decisions taken on figures that close weeks late show their cost later, as cash tied up in receivables or a bank that declines to raise limits. We prepare project reports and CMA data, support transactions and contracts, and provide part-time finance management.

A promoter running an auto component unit in Ambad may sign an OEM programme on a margin that looks sound, then find that tooling, stock and ninety-day receivables have to be funded first. The shortfall reaches the bank before it reaches the profit and loss account, and the renewal of limits becomes harder to argue.

Business advisory covers the finance work above routine compliance: project reports and bank finance, due diligence and valuation, contracts and disputed accounts, and ongoing support through budgets, MIS and part-time finance management. Most of this work is done for manufacturers, distributors and family groups in Nashik, and we work with businesses elsewhere in Maharashtra from our Nashik office.

Projects and finance

  • Project feasibility and project reports

A new plant, product line or unit is tested against capacity, capital cost, margins and funding. The project report is written in the form that banks and subsidy authorities ask for.

  • Business projections and CMA data

Projected statements and the credit monitoring arrangement data are built from capacity, order book, raw-material prices and the cash cycle, and reconciled with the stock statements already filed.

  • Loan facilitation and bank finance

Term loan and working capital proposals are prepared and presented to banks, and the credit officer's queries are answered until sanction.

  • Bank accounts and banking relationships

Account opening for new entities, and the documentation and correspondence that keep a business's relationship with its bankers in order.

Transactions and succession

  • Due diligence for acquisitions and investment

Financial and tax review of a business before it is bought, invested in or merged, with a written report on the exposures found.

  • Business valuation

Businesses and shares are valued for transactions, restructuring, funding and family arrangements. Some valuations required by company law and insolvency law must be done by a registered valuer, and the kind your purpose needs is identified at the start.

  • Succession planning for family businesses

When a second generation joins, ownership and roles need to be set out clearly. The financial and tax consequences of each option are put in writing, and the documents are drafted with your lawyers.

Contracts and disputes

  • Commercial contract drafting

Supply, job-work, distribution and service agreements are drafted or reviewed for their price, payment, tax and termination terms.

  • Arbitration and settlement support

Computation of claims, preparation of financial evidence and support in negotiation or arbitration of commercial disputes.

  • Reconciliation of disputed accounts

Ledgers of both parties are matched entry by entry, and the differences are listed with their cause so that the disputed amount is narrowed.

Ongoing finance support

  • Part-time CFO

Senior finance judgement for a business without a full-time finance head: fixed review meetings, and help on decisions such as a large order, a capital purchase or a bank meeting.

  • Monthly MIS and budgets

An annual budget built from volumes, prices and costs, and a short monthly pack comparing actual results with it. Reasons for each material variance are recorded.

  • Retainer consultation

A weekly or monthly slot in which the owner can take questions on finance, tax and compliance as they arise.

  • Recruitment assistance

Help in hiring finance and accounts staff: defining the role, testing candidates on accounting and tax, and taking part in interviews.

For manufacturers

  • A large order with long credit

A new OEM programme can double volumes and still drain cash, because tooling, stock and receivables have to be funded before the margin is earned. The cash cycle of the order is modelled before you sign.

  • Expansion at a second plant

New capacity in Sinnar or Gonde raises questions about capital cost, the size of the term loan and subsidies, and about which entity should own the plant. The project report puts these figures on one page.

  • A bank renewal with weak projections

A credit officer is not persuaded by projections showing sales rising every year at an unchanged margin. Projections built from capacity and the order book, and consistent with the stock statements, receive a different hearing.

  • A dispute with an OEM or supplier

Debit notes, rate differences and rejections often leave two ledgers that never agree. The accounts are reconciled before the commercial discussion starts.

How an engagement runs

  1. Scoping meeting

We meet the promoter and the person who keeps the books, and agree the one or two questions that matter most this year.

  2. Diagnosis

The accounts, the bank papers and the existing reports are read, and a written note records which of them are reliable.

  3. Build

The project report, MIS pack, projection or diligence report is prepared with your team, so that it remains in use.

  4. Review rhythm

Meetings are held monthly or quarterly, at your office or ours, and a written note records the decisions taken.

What we need from you

The following is usually requested for a first meeting and scoping. Where some of it does not exist, that absence is itself a finding.

  • Audited financial statements for the last two or three years, for each group entity
  • The latest monthly trial balance and any MIS you already prepare
  • Bank sanction letters, loan schedules and the last stock or CMA statements filed
  • The group structure with shareholdings and the activities of each entity
  • Any budget, business plan, project report or projection prepared in the last year
  • For a transaction, contract or dispute, the relevant agreements and correspondence

What a monthly MIS pack usually contains

Each business differs. For a manufacturer, however, a first pack usually fits on four pages.

  • Sales by product group and by major customer, against budget and against last year
  • Contribution margin by product group, with material cost as a share of sales
  • Cash position, borrowings used against limits, and a 13-week cash forecast
  • Receivables by age and by customer, and payables to micro and small suppliers by due date
  • Stock by category in days of consumption or sales, with slow-moving items listed
  • A short note from the finance team on what changed and why

Common questions

How is a part-time CFO different from a full-time one?

A full-time CFO runs finance every day. A part-time arrangement gives senior judgement at fixed intervals and on specific decisions, while your accounts team runs the daily work. Many growing manufacturers work this way until the business needs a full-time finance head, and the role can then be defined with our help.

What is CMA data and when does a bank ask for it?

Credit monitoring arrangement data is a set of past and projected statements in the format banks use to assess working capital needs. It is usually asked for at a new sanction, at the annual renewal and when an enhancement of limits is requested.

Do you give personal financial or investment advice?

No. Our financial planning concerns the business: budgets, cash flow, funding and bank projections. Anyone giving personal investment advice for a fee must be registered with SEBI as an investment adviser, and we do not offer that advice.

Who can value shares for a transaction?

That depends on the purpose. Company-law and insolvency valuations generally require a registered valuer. The income-tax and foreign exchange rules each specify who may value shares for their own purposes, and the answer differs from rule to rule. The requirement for your transaction is confirmed before any work starts.

Do you represent us in arbitration?

Our role is financial: computing the claim, reconciling accounts and preparing the figures and evidence. Where legal representation is needed, we work alongside your advocate.
